WELCOME TO e-trade.refwin.com FREE SERVICE (the "SERVICE"). The following sets forth the terms and conditions of Refwin E-trade（e-trade.refwin.com）User Agreement (this "Agreement") between you (“User”) and the Refwin E-trade contracting company determined in accordance with this clause ("e-trade.refwin.com") under which Refwin E-trade offers you access to and use of the service through the websites and other portals owned, operated, branded or made available by e-trade.refwin.com to you from time to time relating to the Refwin E-trade platform including but not limited to the web. Please read the terms and conditions carefully. This agreement constitutes a legal document binding on both parties after clicking the "Agree" button to further register successfully.

1. Acceptance and Confirmation

1.1 The ownership and operation rights of various online services of Refwin E-trade belong to Tangshan Yinailian E-Business Co., Ltd. The User agrees to all the terms of the registration agreement and completes the registration process, and is verified by Refwin E-trade to become an official User of Refwin E-trade. Confirmation: The terms of this agreement are contracts that deal with the rights and obligations of the User and Refwin E-trade, and are always valid. If there are other mandatory provisions of the law or special agreements agreed by parties, it shall be in accordance with their provisions or special agreements.

1.2 If you (User) clicks to agree to this agreement, it is deemed that you have confirmed that you have the corresponding rights and capacity to accept online trading products and enjoy services, and can independently assume legal responsibilities; and the signing of this agreement has gone through all internal approval and authorization procedures.

1.3 Refwin E-trade reserves the right to independently decide to refuse service, stop User accounts, clear or edit content, or cancel orders within the scope permitted by applicable laws in the mainland of the People's Republic of China.

1.4 Please read the terms marked in bold in the content of this agreement. The User clicks the "Agree" button is deemed to that the User has read and fully understood the terms of the agreement and other Refwin E-trade regulations, and fully accepts this agreement. Please reconfirm that you know and fully understand the entire content of this agreement before clicking.

2．Service

2.1 Refwin E-trade provides Users with refractory material product transactions and information services through the Internet in accordance with the law. Users have the right to use Refwin E-trade's related services only if they fully agree to this agreement and the provisions of Refwin E-trade. The User registers a Refwin E-trade account, it is deemed that the User fully agrees to this agreement and the provisions of Refwin E-trade.

3. User information

3.1 User shall provide the registration information to Refwin E-Trade in good faith and guarantee that the registration information provided by User is true, accurate, complete, legal and valid. User shall update their registration information within 3 working days if there is any change. If any of the registration information provided by the User is illegal, invalid, untrue, inaccurate, incomplete or not updated in time, the User shall bear the corresponding responsibilities and consequences arising therefrom, and Refwin E-Trade reserves the right to terminate the User's use of Refwin E-Trade services.

3.2 When the User uses Refwin E-trade, the real name/company, mailing address, contact information, business license and other private information of the User and the company will be kept strictly confidential unless authorized by the User or otherwise stipulated by law, Refwin E-trade will not disclose the User and company privacy information to the outside world. If relevant regulatory authorities require Refwin E-trade to provide relevant information in accordance with legal procedures, Refwin E-trade shall provide it, which shall not be treated as breach of the agreement.

3.3 After successful registration, account information such as User name and password will be generated, and User can modify the password according to Refwin E-trade prompts. User shall save and use their User name and password carefully and reasonably. Otherwise, the account information leakage and other consequences caused by the User's own negligence shall be borne by the User. If User find any illegal use of User accounts or security vulnerabilities, please notify Refwin E-trade immediately.

3.4 The User agrees that Refwin E-trade has the right to send order information, activities and other information to User registered, sold, or purchased on Refwin E-trade by email, text messages, telephone, etc., and it is deemed that the User has received the information since the information is sent by Refwin E-trade.

3.5 If the User lends the account registered in Refwin E-trade to others, it shall be deemed as his own use and shall bear all the responsibilities arising therefrom, and the actual User shall bear joint liabilities.

4. Account description

4.1 The User shall be responsible for the security of the User ID and password, as well as the behavior implemented through the User ID and password. The ID and password registered by the User in Refwin E-trade are limited to the User's own use, and shall not be used by any third party, otherwise the loss caused thereby shall be borne by the User, and Refwin E-trade reserves the right to suspend or terminate the service.

4.2 The User ID and password cannot be transferred, gifted or inherited in any way except by legal regulations or judicial ruling, and with the consent of Refwin E-trade.

4.3 When the User forgets or loses the User name and password registered in Refwin E-trade, the User can contact the customer service staff of Refwin E-trade. After providing relevant supporting information and verifying by Refwin E-trade, the User ID and password can be retrieved.

5. User' s legal obligations in terms of words and behavior

According to this agreement formulated in accordance with relevant national laws, regulations and rules, the User agrees to strictly abide by the following obligations:

5.1 The following inappropriate speeches are prohibited to spread or publish: speeches that instigate resistance or undermine the implementation of the Constitution, laws, and administrative regulations, speeches that incite to subvert state power, overthrow the socialist system, speeches that incite to split the country, undermine national unity, and speeches that incite ethnic hatred, discrimination and undermine national unity;

5.2 When transferring any info or data from China mainland to overseas, it must comply with relevant Chinese laws and regulations;

5.3 It is forbidden to engage in money laundering, stealing trade secrets, stealing personal information and other illegal and criminal activities via Refwin E-trade;

5.4 The following actions are not allowed, such as interfering with the normal operation of Refwin E-trade, or intruding into Refwin E-trade or the national computer information system;

5.5 It is prohibited to spread or publish any information or speech that harms the public interests of the country and involves national security;

5.6 It is not allowed to spread or publish any illegal, criminal, harassing, slanderous, abusive, threatening, hurtful, vulgar, and uncivilized information materials;

5.7 It is not allowed to instigate others to engage in acts prohibited by laws and regulations and these terms;

5.8 It is not allowed to use the account registered on Refwin E-trade to conduct any illegal profit-making business activities;

The User should always pay attention to and abide by various legal rules and regulations published or modified by Refwin E-trade from time to time. Refwin E-trade has the right to delete all kinds of information that does not comply with legal policies or untrue information on the website without notifying the User. If any User fails to comply with the above regulations, Refwin E-trade has the right to make independent judgments and take measures such as suspending or closing the User account. The User shall bear legal responsibility for his own remarks and behaviors on the Internet, and Refwin E-trade reserves the right to recover if losses are caused to Refwin E-trade.

6. Product information published on Refwin E-trade platform

Product information released on Refwin E-trade such as price quotation, spot quantity, physical and chemical specifications will change at any time based on market or sales conditions, and Refwin E-trade will not give special notice. Due to the huge amount of product information on the website, although Refwin E-trade will do its best to ensure the accuracy of the product information viewed by Users, the information displayed on the Refwin E-trade website may be a certain lag or error due to objective reasons such as network and computer terminal compatibility, which the User should be aware of and agree to this situation, and Refwin E-trade shall not be liable for this.

7． Procurement

7.1 The User shall carefully confirm the product name, price, quantity, physical index, chemical index, company name and other information of the purchased product, before submitting the consent/order through Refwin E-trade. If the wrong information provided by the User leads to a loss of profit during the transaction, Refwin E-trade will not bear any legal and joint liabilities.

7.2 Unless otherwise mandatory by law, the two parties agree as follows: The information such as products and prices displayed by Refwin E-trade is only an invitation to the product supplier, and the purchaser can negotiate the unit price with the supplier, and must select product, physical and chemical indicators, quantities, etc. when placing an order; the contract/order information generated by the system is the data automatically generated by the computer information system according to the content filled in by the purchaser, and it is only the contract offer issued by the purchaser to the product supplier; it is deemed that a contractual relationship has been established between the purchaser and the product supplier, after the product supplier receives the purchaser’s contract/order information is received and the purchaser’s promise of payment is received.

7.3 As the platform, Refwin E-trade only provides a trading platform. All processes and disputes between the purchaser and the supplier are handled by the purchaser and the supplier themselves, and Refwin E-trade can provide assistance.

8. Taking goods and delivering goods

8.1 After buyer and seller sign contract/confirm order, seller should arrange goods delivery on time and buyer can take delivery at appointed warehouse.

8.2 If there is failure of taking goods and delivering goods on following occasions, Refwin E-trade platform and seller assume no responsibility.

8.2.1 Caused by wrong goods taking information provided by buyer

8.2.2 Caused by situation change, for instance, buyer suddenly changes order items and adjusts order’s products specs and quantity, etc.

8.2.3 Caused by force majeure, such as natural disaster, traffic cordon off, war outburst, government intervention or national policies, etc.

9. Obligation limitation and disclaimer

9.1 The User clearly agrees that all risks and relevant consequences when using Refwin E-trade platform service are born by User and Refwin E-trade assumes no liability. Refwin E-trade doesn’t ensure correctness and completeness of external links set for User’s convenience. Meanwhile, Refwin E-trade assumes no liability on any external web page contents uncontrollable by Refwin E-trade. Unless there is other explicit written statement, all information, materials, products (including software) and service provided by Refwin E-trade to are based on current condition and existence.

9.2 Unless there is other explicit written statement, Refwin E-trade doesn’t make statement or guarantee in any forms by expression or implication. (Other than those regulated according to laws of People's Republic of China)

If there appears online transaction incapable of being completed and missing of information and records due to Refwin E-trade system breakdown or abnormal usage caused by force majeure or other uncontrollable factors, Refwin E-trade will try best to aid solving it properly.

9.3 If intellectual property owner claims their intellectual property has been infringed and asks Refwin E-trade to conduct corresponding measures, Refwin E-trade has rights to conduct necessary measures like deleting User’s information, shielding User, disconnecting their usage, terminating transaction and service, etc. To this, Refwin E-trade assumes no responsibility. If User can defend they don’t infringe intellectual property, Refwin E-trade can timely recover the usage and information.

9.4 Refwin E-trade only conducts formal examination to information on platform. To the disputes coming from information, materials and products provided by Users, and Users need to handle themselves. If there is violation of Refwin E-trade relevant rules or infringement on Refwin E-trade platform’s rights by Users, Refwin E-trade has rights to deal with it according to item of 10.2 of this agreement and requests compensation for loss.

10. Renewal of Agreement and User’s obligations in paying attention

10.1 In accordance with the changes in national laws and regulations and the needs of website operation, Refwin E-trade has the right to modify and update the terms of this agreement from time to time. Once the modified and updated agreement is published on Refwin E-trade, it will take effect and replace the original agreement. The User can log in to check the latest agreement at any time; the User is obliged to follow and read the latest version of the agreement and announcements published on Refwin E-trade. If the User do not agree with the modified or updated agreement, he can and should immediately stop accepting the services provided by Refwin E-trade in accordance with this agreement; if the User continues to use the services provided by Refwin E-trade, it shall be deemed to have agreed to the updated agreement. Refwin E-trade recommends that the User read this agreement and accouchements published by Refwin E-trade before using Refwin E-trade. If any clause of this agreement is deemed to be annulled, invalid or unenforceable for any reason, the clause shall be deemed separable and do not affect the validity and enforceability of any remaining clauses.

10.2 Any User who has been confirmed by Refwin E-trade to have violated one or more of the relevant laws and regulations, this agreement, and the rules of use of Refwin E-trade, Refwin E-trade has the right to decide whether to suspend or terminate the use, and all consequences caused by this shall be borne by the User.

11. Legal and Application

11.1 The intellectual property rights such as the unique logo and layout design on Refwin E-trade website belong to Tangshan Yinnailian E-Business Co., Ltd., and shall not be copied, edited, or reproduced without its consent.

11.2 If the content of this site is reproduced maliciously, Refwin E-trade reserves the right to take it to law.

11.3 The conclusion, implementation and interpretation of this agreement and dispute resolution shall be applicable to the effective laws applicable in the mainland of the People's Republic of China, excluding its conflict of laws rules. In the event that the terms of this agreement conflict with the applicable law, these terms will be completely reinterpreted in accordance with the law, and other valid terms will continue to be valid.

11.4 If the parties have any disputes over the content of this agreement or its implementation, both parties shall try their best to resolve through friendly negotiation; if the negotiation fails, either party may bring a lawsuit to the people's court where Tangshan Yinailian E-Business Co., Ltd. is located.

12. Others

12.1 The owner of Refwin E-trade refers to the operating entity of Refwin E-trade licensed or filed by the government according to law.

12.2 Refwin E-trade respects the legal rights of the User. This agreement and various rules, statements and other content published on Refwin E-trade are all for better and more convenient services to the User. Refwin E-trade welcomes comments and suggestions from the User. Refwin E-trade will humbly accept and revise this agreement and various rules on Refwin E-trade in a timely manner.
